I think you have understood it wrong. SEBI has put into efffect rules that restrict the salary and variable component pay in respect of the top executives of the exchanges like NSE or BSE. Otherwise, SEBI has no powers or role in the salary and perks of the employees of listed companies. If at all, any one can propose that, it has to be the Company Law Ministry which too can be done only after an Act to this effect is passed by the Parliament. Otherwise, they too can suggest or give hints to the Corporate world.

No way, sebi has a limited roll in salary and perks of company as these are approved by the majority shareholders only
